1) Scope of Application

1.1 These Terms and Conditions (hereinafter “Terms”), issued by Keaeak Ltd. (hereinafter the “Seller”), apply to all contracts for the sale and delivery of goods concluded between a consumer or business (“Customer”) and the Seller via the Seller’s online store. Customer terms and conditions do not apply unless expressly agreed.

1.2 These Terms also apply to contracts for the sale of vouchers, unless expressly stated otherwise.

1.3 A consumer is any individual who makes a purchase for purposes that are primarily personal, household, or not related to trade, business, or professional activity.

1.4 A business customer is a natural or legal person, or partnership with legal capacity, acting in the course of their trade, business, or professional activity.


2) Conclusion of Contract

2.1 Product descriptions in the Seller’s online store are not binding offers but serve as an invitation for the Customer to make a purchase offer.

2.2 By placing goods in the shopping cart and completing the checkout process, the Customer submits a legally binding offer to purchase.

2.3 The Seller may accept the Customer’s offer within five (5) days by:

  • confirming the order in writing or via email,

  • delivering the goods, or

  • requesting payment from the Customer.

The contract is concluded upon the first occurrence of one of these actions. If the Seller does not accept within five (5) days, the offer is deemed rejected.

2.4 – 2.7 Payment processing may take place via PayPal, Amazon Pay, Shopify Payments/Stripe, or other available options. Acceptance of the contract may occur at the point of successful payment authorization. The specific terms of each payment service provider apply.

2.8 The contract language is English.

2.9 Customers are responsible for providing a correct email address to ensure order confirmations and communications can be received.


3) Right of Withdrawal

3.1 Consumers generally have a right of withdrawal/cancellation within fourteen (14) days.

3.2 Full details are outlined in the Refund & Return Policy.


4) Prices and Payment Terms

4.1 Unless otherwise stated, prices include applicable sales taxes. Any shipping costs are displayed separately.

4.2 – 4.7 Available payment methods are communicated in the online store. Depending on the method (e.g., PayPal, Amazon Pay, Klarna/Sofort, Stripe), additional terms and identity checks may apply.


5) Delivery and Shipping Conditions

5.1 Goods are shipped to the delivery address specified by the Customer.

5.2 If delivery fails due to reasons attributable to the Customer, additional costs may apply.

5.3 Risk of loss passes to the Customer upon delivery. For business Customers, risk passes when goods are handed over to the carrier.

5.4 If the Seller is unable to supply due to supplier failure beyond their control, the Seller may withdraw from the contract and will refund any payment made.

5.5 Self-collection is not available.


6) Retention of Title

Goods remain the property of the Seller until payment is made in full.


7) Warranty and Liability for Defects

7.1 Statutory warranty rights apply unless otherwise specified.

7.2 – 7.5 For business Customers, warranties may be limited to one (1) year, with exclusions for used goods. Consumers retain statutory rights. Exceptions apply in cases of fraud, hidden defects, or safety updates for digital products.

7.6 Business Customers must inspect goods upon delivery and promptly report defects.

7.7 Consumers are requested, but not obliged, to report obvious shipping damage immediately.


8) Special Conditions for Processing Goods According to Customer Specifications

Customers providing materials (texts, images, designs) guarantee that they hold the necessary rights. They indemnify the Seller against third-party claims resulting from unauthorized use. The Seller reserves the right to reject unlawful or offensive content.


9) Redemption of Promotional Vouchers

  • Promotional vouchers issued free of charge during campaigns are redeemable only in the Seller’s online store within the specified period.

  • Only one voucher per order may be used.

  • No cash redemption or interest is possible.

  • Vouchers cannot be applied retroactively.

  • Non-transferable unless explicitly stated.


10) Redemption of Gift Vouchers

  • Purchased gift vouchers may be redeemed in the Seller’s online store.

  • Vouchers are valid for three (3) years from the date of purchase.

  • Only one voucher per order may be used.

  • No cash redemption or interest is possible.

  • Gift vouchers are transferable. The Seller may honor redemption by any holder unless misuse is known.


11) Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law provisions. Consumer protection laws of the Customer’s state of residence may still apply.


12) Alternative Dispute Resolution

The Seller is not obligated or willing to participate in dispute resolution proceedings before a consumer arbitration board. However, U.S. consumers may have the right to pursue claims through small claims court or other legal remedies under applicable law.
